Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Traxon360 web application and mobile applications (the “Service”), operated by Nirmidh Technologies (“Nirmidh”, “we”, “us” or “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
The Service
The Service is a business tool for fleet and operations management provided to organisations and their authorised users. We may add, change, suspend or discontinue any part of the Service at any time without liability.
Accounts and access
Access is provided through accounts issued by an organisation to its users. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Access may be subject to security controls, including device-based restrictions. You must provide accurate information and keep it up to date.
Acceptable use
You agree to use the Service only for lawful business purposes and in compliance with applicable laws. You must not misuse the Service, attempt to gain unauthorised access, interfere with its operation, or use it to store or transmit unlawful content.
Your data
As between you and Nirmidh, the operational data your organisation enters remains its own. You grant us the permissions necessary to host and process that data in order to provide the Service. You are responsible for the accuracy, legality and appropriateness of the data you submit and for having the rights to submit it.
Fees
Any fees for the Service, where applicable, are agreed directly with your organisation under a separate commercial arrangement. No payments are processed through the mobile applications, and the mobile applications do not offer purchases or subscriptions.
Intellectual property
The Service, including its software, design and content (excluding your operational data), is owned by Nirmidh and its licensors and is protected by applicable laws. These Terms do not grant you any rights in the Service other than the limited right to use it as permitted here.
Third-party services
The Service may rely on or link to third-party services. We are not responsible for third-party services and their availability, content or practices are governed by their own terms.
Disclaimer of warranties
The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy or availability. We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or that any data will be accurate or preserved. You use the Service at your own risk.
Limitation of liability
To the maximum extent permitted by applicable law, Nirmidh and its affiliates, and their respective directors, employees and suppliers, shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business, arising out of or relating to the Service, whether based on contract, tort or any other legal theory, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service shall not exceed the amount, if any, paid by your organisation to Nirmidh for the Service during the three (3) months preceding the event giving rise to the claim, or, where no amount has been paid, one thousand Indian Rupees (INR 1,000).
Indemnification
You agree to indemnify and hold harmless Nirmidh and its affiliates from and against any claims, damages, liabilities, costs and expenses arising out of your use of the Service, your data, or your breach of these Terms or of applicable law.
Suspension and termination
We may suspend or terminate access to the Service at any time, with or without notice, including for suspected misuse or to comply with law. Provisions that by their nature should survive termination will survive.
Changes to these Terms
We may update these Terms from time to time. Changes are effective when the updated version is posted. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
Governing law and jurisdiction
These Terms are governed by the laws of India. The courts at Kolenchery, Kerala shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to applicable law.
